He has worked with and represented large domestic and international clients and market participants from across varied industry sectors and has been a part of DSK Legal since 2015.

Soham regularly advises and assists clients with structuring, documenting, negotiating and implementing transactions involving corporate and debt restructuring, structured financing, assignment, securitization and asset reconstruction, corporate finance, project finance, debt raising and debt re-financing including through loans, debentures, quasi-equity and mezzanine instruments, submission and implementation of resolution plans and bids in insolvency and liquidation proceedings, advising on insolvency and liquidation scenarios, bidding and tendering processes, procurement and supply arrangements, joint venture and consortium arrangements, engineering procurement and construction (EPC) contracts, operation and management (O&M) contracts and concession agreements, and advising on appropriate risk mitigation strategies for the same. He also advises clients on various corporate and commercial laws and exchange control regulations in India.

Recent Key Assignments

  • Advised and assisted SC Lowy, a privately-held banking group headquartered in Hong Kong, in the securitization through a bankruptcy-remote special purpose vehicle and ‘true sale’ of mortgage-backed loans of approx. INR 20 billion as provided by the erstwhile Dewan Housing Finance Limited for financing the development of slum rehabilitation components of a housing project in Mumbai, India.
  • Advised and assisted Omkara Assets Reconstruction Private Limited, an asset reconstruction company in India, in the securitization of mortgaged-backed loans categorized as non-performing assets of approx. INR 8 billion disbursed by PNB Housing Finance Limited to Joyous Housing Limited for funding the construction and development of a real estate project in Mumbai, India.
  • Advised and assisted Imagicaaworld Entertainment Limited, a leading presence in the amusement park business in India, in the resolution and restructuring of loans and borrowings in excess of approx. INR 5 billion, under a resolution plan implemented under the aegis of the Reserve Bank of India (Prudential Framework for Resolution of Stressed Assets) Directions, 2019, and with respect to preferential allotment of its public listed shares and its change in control in favour of Malpani Group, a Maharashtra based diversified business group, under the regulatory framework of the Securities and Exchange Board of India (SEBI). Also, advised and assisted Imagicaaworld Entertainment Limited, in relation to the consolidation and strategic integration of multiple amusement parks and water parks of Malpani Group located across Maharashtra, into Imagicaaworld Entertainment Limited, by way of slump sale arrangements.
  • Advised and assisted Omkara Assets Reconstruction Private Limited, an asset reconstruction company in India, in the acquisition and securitization of loans categorized as non-performing assets of approx. INR 3 billion as provided by Piramal Capital & Housing Finance Limited and Piramal Enterprises Limited to Advantage Raheja Hotels Private Limited, and the reclassification and recategorization of security receipts issued by the bankruptcy-remote special purpose vehicle into separate classes and involving the restatement of corresponding rights and responsibilities of the holders/investors in such security receipts.
  • Advised and assisted PSA India Intermodal Pte. Ltd., Singapore, a unit of Singapore-based port operator, PSA International Pte Ltd, in relation to purchase of controlling stake in Ameya Logistics Private Limited and its subsidiaries from CMA CGM S.A., France and the erstwhile promoter family of Ameya Logistics Private Limited for approx. US$ 100 million.
