Saurabh Tiwari is a Partner in the Corporate, Securities and Regulatory Practice, with over 16 years of experience. Saurabh extensively advises clients on Indian securities laws, company law, foreign exchange laws, regulatory framework for financial entities including NBFCs, foreign contributions law, and commercial agreements. He has advised on several Mergers & Acquisition transactions, some of them being the largest in specific sectors.

Saurabh advises in the listed securities space on Take-Over Regulations, Listing Obligations & Disclosure Requirements, legal framework on Insider Trading, Fraudulent and Unfair Trade Practices Regulations, Global Depository Receipts (GDRs) and settlements with SEBI. Further, he regularly advises Independent Directors on their functions and legal issues, and listed companies on board compositions and corporate governance matters. Saurabh also represents clients before the Securities & Exchange Board of India (SEBI) on securities law investigations and enforcement.

He has advised several foreign corporates on establishing their presence in India, on foreign investments in Indian companies (Foreign Direct Investment (FDI) & Foreign Portfolio Investments (FPI)), investment by Indian companies in foreign jurisdictions (Overseas Direct Investments (ODI)), External Commercial Borrowings (ECBs) by Indian companies, Employee Stock Options offered by foreign entities to employees of Indian group companies, and agreements for foreign grants. He regularly represents clients before the Enforcement Directorate on investigations and enforcement, on issues related to Indian foreign exchange laws, investments and repatriations.

Regulatory frameworks for Banks, NBFCs (both Deposit and Non-Deposit Taking) & Core Investment Companies is another area where Saurabh’s counsel is sought regularly.

Saurabh also advises on Indian Employment Laws, senior management employment contracts, managerial remuneration and benefits, terminations and separations, restructuring of workforce and employee investigations.

He has also worked significantly on disputes between foreign and Indian parties, on commercial settlements and has also represented clients before the Reserve Bank of India (RBI) and Department for Promotion of Industry and Internal Trade (DPIIT).

Saurabh regularly contributes to various legal journals and periodicals, inter-alia, India Business Law Journal, VC Circle. He is frequently quoted in business newspapers on legal and regulatory issues, and also has a keen interest in recruitment process at the Firm.

Recent Key Assignments

  • Advised Dish TV (a listed company) and its Directors, on SEBI Take Over Code, Listing and Disclosure Regulations, and legal issues pertaining to Notice for EGM sent by its largest shareholder, seeking control in the Company. Represented the Company before SEBI.
  • Advised a leading Indian mobile phone manufacturer on enforcement of put option by a foreign investor and settlement based on a potential Initial Public Offering (IPO) of shares and listing on the Indian stock exchanges.
  • Advised Minda Corporation Limited, a listed company and leading manufacturer of automobile components on exit by Stoneridge Inc., USA from the joint venture, Minda Stoneridge Instruments Limited.
  • Advised Vishwa Samudra Group (a leading engineering and construction group) on its exit from a joint venture with Adani Ports & SEZ Limited, for ownership and management of Krishnapatnam Port.
  • Advised a leading International Bank on restructuring of its entire workforce in India.
