Experience

Rangam is a part of the firm’s corporate practice group. He is also a member of the firm’s crisis management and technology practice group. Rangam focuses on M&A, private equity, venture capital, and venture debt transactions, including share acquisitions, business transfers, asset transfers, and acquihire transactions.

He regularly advises investor nominees and director representatives on governance frameworks, fiduciary duties, conflict management, related party transactions and other board-level responsibilities. Beyond the initial transaction, he works closely with investors and portfolio companies throughout the lifecycle of an investment, advising on follow-on fundraises, acquisitions, restructurings, commercial arrangements, regulatory matters, governance issues, shareholder disputes and exit processes. His practice extends beyond traditional transactional work and includes acting as a trusted adviser to boards, management teams and investors on strategic and high-stakes situations. He has also advised investors and companies alike on crisis management mandates, including shareholder and founder disputes, governance breakdowns, regulatory investigations, business continuity concerns, distressed situations and other sensitive matters requiring coordinated legal, commercial and stakeholder-management strategies.

He graduated from Symbiosis Law School, Noida in 2016.

Recent Key Assignments

  • Advised a leading digital insurance distribution platform on its strategic consolidation transaction with another prominent insurance technology company, structured as a merger of equals and valued at approximately USD 1 billion, resulting in one of the largest private M&A transactions in the Indian insurtech sector.
  • Advised a consortium of major international institutional investors on corporate governance, shareholder rights and contentious matters involving a leading Indian edtech company, including one of India’s first investor-led oppression and mismanagement proceedings
  • Advised several institutional investors, including Oikocredit Ecumenical Development Cooperative Society U.A., Good Capital, Riverwalk Holdings and Stride Ventures, on a broad range of investment transactions, including equity investments, venture debt financings, follow-on funding rounds and strategic investments across multiple sectors.
  • Advised a wide range of start-ups, growth-stage companies and their promoters on matters spanning the full corporate lifecycle, including venture capital and private equity fundraises, strategic investments, shareholder arrangements, corporate governance, regulatory issues, commercial contracts and day-to-day business operations. Representative clients include AntiNorm, GIVA, Oxyzo, OFB Tech, LightFury Games, Yes Madam, Zouk, InsuranceDekho and Apollo 24|7.
