About Prachi Gupta
Prachi is a corporate, commercial and transactional lawyer and is a part of the General Corporate practice group in our firm’s New Delhi office.
Her practice mainly consists of advising on corporate and commercial matters such as private equity, strategic investments, mergers and acquisitions, joint ventures involving domestic and international clients.
She also advises clients on general corporate matters under Indian laws, essentially including compliance under company laws, commercial contracts, technology laws, foreign exchange regulations, employment laws, etc.
She graduated from ILS Law College, Pune in 2012 and has been a part of DSK Legal since 2012.
Relevant Experience:
- Advising on various private equity/strategic investments, mergers and acquisitions deals, acquisition of various companies in India by domestic and foreign clients and their compliances under Indian corporate laws and on exchange control regulations, including drafting, review and negotiating transaction documents.
- Drafting, reviewing and negotiating various commercial contracts such as consultancy agreements, teaming agreements, technology transfer agreements, copyright assignment, distribution agreements, service agreements and software agreements.
- Conducting legal due diligence in diversified sectors.
- General corporate advisory including advisory in relation to Companies Act and Foreign Exchange Laws.
- Advising national and multinational clients (including e-commerce companies) across industries such as social media, food, cab, gaming, e-wallet, AI industry, etc., on various legal and regulatory aspects including data hosting (including sensitive personal data), terms of use, privacy policy, licenses/ approvals, online marketing, direct selling, etc.
- Advising clients on various employment issues, including drafting/reviewing of employment policies and documentation for appointment, termination, and disciplinary proceedings against employees.
