Experience

Hemang is an experienced transaction lawyer and advises clients on their investment, divestments and strategic decisions in the areas of corporate laws, commercial laws and other related laws. He has significant experience in M&A, private equity, investment funds, and venture capital investment transactions.

He has covered the entire gamut of investment transactions, which includes from setting-up of funds, to investments to exits. Such investments include acquisition of minority stake, significant minority, acquisition of controlling stake to complete buy-out.

Recent Key Assignments

  • Advised and assisted TPG backed Quality Care India Limited in relation to the acquisition of (a) United CIIGMA Institute of Medical Sciences Private Limited, and its group entities; and (b) Convenient Hospitals Limited and its group entities.
  • Advised and assisted Kotak Alternate Asset Limited in setting up funds in GIFT City and Domestic Fund in India, with a committed corpus of ~USD. 1 billion.
  • Advised and assisted Manash Lifestyle Private Limited (Purplle) in its primary and secondary transactions with various private equity investors and family offices, for an aggregate value of ~ USD 119 million.
  • Advised and assisted Nspira Management Services Private Limited and Narayana group in its leveraged buy-out of Morgan Stanley Private Equity and Banyan Tree Capital, for an aggregate value of ~ USD 165 million.
  • Advised and assisted Mandala Capital in its investments and exits from (a) Edward Food Research and Analysis Centre; and (b) Keventer Agro Limited; and (c) Sustainable Agro Finance Limited.
