With over 22 years of experience, Harvinder is a corporate commercial, M&A, and private equity lawyer with a strong background in leading complex, high-value transactions for both Indian and global corporations. His work includes structuring and executing various corporate transactions such as public and private mergers and acquisitions, private equity deals, venture capital investments, strategic joint ventures (inbound and outbound), and corporate restructurings like mergers, spinoffs, and buyouts. He also provide guidance on foreign direct investment, offshore investments, corporate governance, ESG-related matters, and compliance with company and securities laws.

He has represented multinational corporations in cross-border transactions, offering advice on foreign direct investments, technology transfers, franchising, retail operations, and commercial contracts. His practice spans multiple sectors, including renewable energy, e-commerce, edutech, infrastructure (roads, ports, and power), manufacturing, real estate, technology, telecommunications, healthcare, and hospitality, addressing regulatory and legal challenges along the way.

In the area of Environment, Health, and Safety (EHS) regulations, he has worked on compliance, governance, and transactional matters with a focus on carbon markets, ESG disclosures, and strategies aimed at carbon reduction and net-zero goals, as well as carbon trading and renewable energy transitions.

He has also handled capital market transactions, such as Foreign Currency Convertible Bonds (FCCBs) and Global Depositary Receipts (GDRs). Additionally, he advises on employment law, covering areas like labor law compliance, employee audits, workforce restructuring during mergers and acquisitions, drafting employment agreements, and designing employee stock option schemes (ESOPs) for both listed and unlisted companies.

Recent Key Assignments

  • Advised IDP Education Ltd., an Australian listed entity, on the acquisition of the British Council’s International English Language Testing System (IELTS) business in India for £130m.
  • Advised ReNew Power Private Limited (“ReNew”) in relation to its joint venture with Mitsui & Co., Ltd. Japan (“Mitsui”), whereby Mitsui (through its wholly owned subsidiary) has acquired 49% stake in ReNew’s 1,300 MW capacity RTC (round-the-clock) project.
  • Advised National Investment and Infrastructure Fund (NIIF), in relation to 100% acquisition of SP Jammu Udhampur Highway Limited (SP JUHi) from Shapoorji Pallonji Group (SP Group).
  • Advised Hero Electric Vehicles Private Limited , India’s leading electric 2-wheeler company, and its promoters including Mr. Naveen Munjal with respect to the investment by a Oaks Asset Management Private Limited , Mauritius based fund V’Ocean Investments Ltd., Gulf Islamic Investments (GII) and the incoming investor – WAFI Investments Limited, Cayman Islands.
  • Advised Terminal Investment Limited Holding SA, the container terminal operating and investing arm of MSC Mediterranean Shipping Company SA, world’s largest container shipping line based out of Switzerland (“MSC”) in acquisition of 49% (Forty Nine Percent) stake in Adani Ennore Container Terminal Private Limited from Adani Ports and Special Economic Zone Limited, India’s largest private port operator.
